The “Palace Resorts Dreamy Beach Wedding” Contest (“Contest”) is open only to those who are, as of the date of entry, legal permanent residents of the fifty (50) United States and the District of Columbia and are eighteen (18) years of age or older. Officers, directors, and employees (and members of their household or immediate family, i.e., parents, children, spouse, siblings, grandparents, the step-parents, step-children, and step-siblings of each, and persons residing in such immediate family members’ household) of Sponsor and all other entities involved in the creation, administration, or fulfillment of this Contest, and their parent, related, affiliated and subsidiary companies, are not eligible to enter or win. Participation constitutes full and unconditional agreement to these official contest rules (“Rules”). Sponsor’s decisions are final and binding in all matters related to the Contest. Winning is contingent upon fulfilling all requirements set forth herein. Void where prohibited by law. All applicable federal, state and local laws apply.
3. CONTEST SUBMISSION PERIOD:
The Contest submission period begins at 12:00:00 PM Eastern Time (“ET”) on [2/16/2017] and ends at 11:59:59 PM ET on 3/17/2017. (“Submission Period”). All submissions must be received by Sponsor prior to the expiration of the Submission Period.
4. CONTEST JUDGING PERIOD:
The Contest judging period begins at 12:00:00 AM ET on 3/20/2017 and ends at 11:59:59 PM ET on 3/24/2017 (“Judging Period”).
A computer designated by Sponsor shall be the official clock of the Contest and shall be used to determine all deadlines pertaining to the Contest Period.
5. HOW TO ENTER:
To participate, visit http://weddings.palaceresorts.com/en/content/dream-beach-wedding (“Site”) during the Submission Period and follow the instructions to register for the promotion, which includes providing your contact information and submitting your entry. An individual wishing to enter the Contest (“Contestant”) must create a Pinterest Board (“Entry,” and together with the Entry of every other Contestant, “Entries”) that contains “pins” that answer weekly questions asked via email by the Sponsor (“Contest Question”) at Moon Palace Cancun. (“Hotel”).”
Contestants are limited to one (1) Entry per couple during the Submission Period. In the event the same Entry is entered multiple times or the same couple has more than one Entry, Sponsor may, in Sponsor’s sole discretion, declare both individuals disqualified and each such corresponding submission null and void. In the event Sponsor wishes to allow the couple to remain in the Contest, only the first Entry received by Sponsor from either individual will be accepted, and shall constitute the Entry of that couple. Sponsor may, in Sponsor’s sole discretion, request a Contestant provide the identity of his/her spouse and may disqualify any Contestant failing to provide such information.
All Entries submitted are subject to all of the provisions of these Rules, including but not limited to the Entry Guidelines and Requirements set forth in Section 6 of these Rules. Sponsor reserves the right, in its sole discretion, to disqualify any Entry that does not comply with the terms, guidelines and requirements of these Rules. By submitting an Entry, Contestant and his/her spouse hereby: (i) grants Sponsor, its respective parent, related, affiliated and/or subsidiary companies, and all other entities involved in the creation, administration, or fulfillment of the Contest and their respective successors, assigns, directors, officers, employees, agents and independent contractors (collectively, “Released Parties”), without any limitation of any other rights granted herein, permission for the Entry to be posted on any media platform as determined by Sponsor in its sole discretion; (ii) acknowledges and agrees that his/her Entry may be shared via social media by third parties; and (iii) agrees that the Released Parties are not responsible for any unauthorized use of any Entry by third parties. The Released Parties do not guarantee the posting of any Entry and may remove a posted Entry at any time, in their sole discretion.
6. ENTRY GUIDELINES AND REQUIREMENTS:
a) Must be in English;
b) If a photo, any written statement accompanying the photo must pertain to the Contest Question and may not exceed One Hundred (100) words;
c) Must not contain materials embodying the names, likenesses, or other indicia identifying any person, including, without limitation, celebrities and/or other public or private figures, living or dead, without requisite permission or contain look-alikes of celebrities or other public or private figures, living or dead;
d) Must have approval from any persons appearing in the Entry who is not the Contestant (and if a minor, approval from such minor’s parent or legal guardian) and the Contestant must be able to provide express written consent of every such person appearing in the Entry to Sponsor if requested;
e) Must not disparage Sponsor or any other person or party affiliated with the promotion and administration of this Contest;
f) Must not include any personally identifiable information of any person, such as full name, address or phone number;
g) Must be the original work of the Contestant;
h) Must not in any way contain any logos, brand names or trademarks other than those for which Sponsor has granted each Contestant a limited license to use for purposes of this Contest as set forth in Section 8 of these Rules;
i) Must not have been submitted previously in a promotion or contest of any kind;
j) Must not contain, facilitate, reference, or use material that is fraudulent, inappropriate, indecent, lewd, pornographic, obscene, hateful, tortious, defamatory, slanderous or libelous;
k) Must not contain, facilitate, reference or use material that contains prohibited content which shall include, but is not limited to content that promotes, suggests, or encourages:
i. gambling, including without limitation, any content related to online casinos, sports books, bingo or poker;
ii. the use of firearms/weapons/ammunition, any illegal drugs, prostitution, pornography, nudity, profanity or other adult content, violence, or the use of alcohol or tobacco products; and
iii. the taking up of arms against any person, government or entity or otherwise challenges or seek to overthrow any government;
l) Must not contain any viruses, spyware, malware, or other malicious components that are designed to harm the functionality of a computer in any way;
m) Must not contain, facilitate, reference, or use material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, ethnicity, religion, nationality, disability, sexual orientation, political orientation, citizenship, ancestry, marital status, or age; and
n) Must not contain material that is unlawful, in violation of or contrary to the laws or regulations of any jurisdiction where the Entry is created.
Any Entry deemed by Sponsor, in it’s sole discretion, to be immoral, obscene, profane or in not keeping with Sponsor’s image and values or in violation of any of the requirements, representation or warranties specified herein, shall be deemed void, and the Contestant responsible for such Entry shall be disqualified and ineligible to win the Contest. Incomplete Entries and/or Entries containing inaccurate Contestant information may be disqualified by Sponsor in its sole discretion.
By entering the Contest, each Contestant warrants and represents that his/her Entry is original, does not contain any material that would defame or otherwise violate or infringe upon the rights of any third party, including patents, copyrights, trademarks or rights of privacy or publicity, and will not violate any federal, state or local laws or ordinances. Each Contestant further warrants and represents that he/she has secured the requisite consent from any person appearing or referenced in their Entry.
If an Entry contains any material or elements that are not owned by the Contestant (with the exception of Sponsor’s IP), and/or which are subject to the rights of third parties, the Contestant is responsible for obtaining, prior to submission of the Entry, any and all releases and consents necessary to permit the use and exhibition of the Entry by Sponsor in the manner set forth in these Rules, including, without limitation, name and likeness permissions from any person who appears in or is identifiable in the Entry (and, if such person is a minor, from the natural or legal guardian of the minor). Sponsor reserves the right to request proof of these permissions in a form acceptable to Sponsor from any Contestant at any time. Failure to provide such proof may, if requested, render an Entry null and void. By submitting an Entry, Contestant warrants and represents that he/she and any persons appearing or who are identifiable in the Entry consent to the submission and use of the Entry in the Contest and to its use as otherwise set forth herein.
7. SPONSOR’S INTELLECTUAL PROPERTY (“IP”) AND GENERAL ENTRY TERMS:
Sponsor grants Contestants a limited, revocable, non-exclusive, non-transferable license to use Sponsor’s name, product, trademarks and logos (collectively, “Sponsor’s IP”) for the sole purpose of participating in this Contest. Contestants are not permitted to make any further use of Sponsor’s IP for any purpose whatsoever. In addition, Contestants recognize that all rights, title, and interest in Sponsor’s IP shall remain exclusively with the Sponsor, and Contestant agrees that he or she has not and will not take any action that might harm or adversely affect such rights. No right, title or interest in and to Sponsor’s IP (except for the limited license granted to Contestant in these Rules) is transferred or created. Each Contestant further acknowledges and agrees that Sponsor’s IP rights are valid and enforceable, and that Contestant shall do nothing to challenge the validity or enforceability of Sponsor’s IP in any forum. Contestants agree that the use of Sponsor’s IP is permitted only for the purpose of making an Entry in this Contest, and that any use of Sponsor’s IP (whether in the Entry or otherwise) beyond this scope infringes the rights of Sponsor and will result in irreparable harm to Sponsor.
Each Contestant retains ownership of his/her Entry. Each Contestant hereby grants to Sponsor and its affiliated companies and designated agents an exclusive, transferable, perpetual, worldwide, irrevocable, royalty free, unconditional right: (i) to post and to make, have made, use, copy, reproduce, modify, and create derivative works of the Entry and any materials provided by the Contestant with the Contestant’s Entry or otherwise through the Contest (“Contestant Materials”); (ii) to publicly perform or display, import, broadcast, transmit, distribute (directly and indirectly) or license the Entry and Contestant Materials (and derivative works thereof); and (iii) to sublicense to third parties the foregoing rights, including, without limitation, the right to sublicense to further third parties. Additionally each Contestant consents to the use of the name, statements, photographs, videos, voice recordings and likenesses of himself/herself and any other person appearing in the Entry for publicity purposes, as well as any other purpose associated with the Contest. If requested, Contestant will sign any documentation, waivers or releases that may be required for Sponsor or its designees to make use of the non-exclusive rights Contestant is granting to use the Entry and Contestant Materials.
8. JUDGING AND SELECTION OF THE CONTEST THEME PRIZE WINNERS AND THE GRAND PRIZE WINNER:
Judging Period: During the Judging Period all eligible Entries received by Sponsor will be judged by a panel of judges (“Judges”), selected by Sponsor in its sole discretion, according to the following criteria:
(i) Creativity – 0/10;
(ii) Originality – 0/10; and
(iii) Presentation – 0/10.
The Contestant responsible for the entry receiving the highest scores, as determined by the Judges in their sole discretion, will be the Grand Prize Winner.
In the event of a tie, the Contestant responsible for the Entry with the highest score in the “Creativity” category will be declared a Finalist. In the event a tie still remains, Sponsor will select, in Sponsors sole discretion, one Judge who shall reevaluate the tied Entries using “Originality” as the lone criteria and assign a score to each such Entry from 0/100, with the Contestant responsible for the Entry with the highest score declared a Finalist. If a tie still remains, the Judge previously selected by Sponsor to reevaluate the tied Entries shall pick the Entry that it believes to be the best all-around Entry, and the Contestant responsible for the Entry so selected shall be declared a Finalist. By participating, Contestants agree that the decisions of the Sponsor and Judges are final and binding in all matters relating to this Contest.
All winners are subject to review of eligibility and confirmation of their compliance with these Rules. Decisions of the Judges are final and binding. In the event of a dispute as to any Entry or as to the identity of a Contestant based on an e-mail address, the winning Entry will be declared made by the authorized account holder (determined at the time the Entry was submitted) of the e-mail address associated with the Entry. The “authorized account holder” is defined as the natural person who is assigned an e-mail address by an Internet access provider, online service provider or other organization responsible for assigning e-mail addresses for the domain associated with the e-mail address used to make the Entry. Each Contestant may be required to show proof of being an authorized account holder. Sponsor reserves the right, in its sole discretion, to disqualify any Contestant unable to show proof of being an authorized account holder.
9. PRIZE & APPROXIMATE RETAIL VALUE (“ARV”):
The Winner will receive a wedding package (“Prize”) which includes: (i) room accommodations at the Hotel for six days, five nights for Winner and his/her spouse; room accommodations based on double occupancy for four (4) days, three (3) nights for up to ten (10) guests (collectively, “Wedding Party”); (ii) Six Thousand Dollars ($6,000.00) to put towards a customizable beachside wedding and reception at the Hotel (said Six Thousand Dollars ($6,000.00) to be split evenly between a wedding ceremony, a reception and a cocktail hour); (iii) a photography package. The ARV of the Prize is approximately fourteen thousand dollars ($14,000.00). ARV may vary from actual value, depending on a variety of factors including the date and point of departure. Any difference between stated and actual value will not be awarded. The Prize shall contain only those elements expressly stated in this paragraph and nothing else. Sponsor may, in Sponsor’s sole discretion, elect to have elements of the Prize furnished by, through or in conjunction with, a third party provider (“Third Party Provider”). All elements of the Prize furnished by, through or in conjunction with a Third Party Provider is subject to the terms and conditions set forth in these Rules and any terms and conditions of the Third Party Provider. Airfare for winners and Wedding Party is NOT included.
Once Hotel and wedding arrangements have been confirmed, no changes will be allowed except in the sole discretion of Sponsor and/or a Third Party Provider. No refund or compensation will be made in the event of the cancellation or delays. Accommodations at the Hotel are subject to availability. Accommodations will be in the Deluxe Resort View room category. All meals, beverages (alcoholic & non-alcoholic), entertainment and taxes (pertaining to accommodations at the Hotel only) are included. Prize cannot be redeemed during Easter, Passover, Summer (July & August), Thanksgiving, Christmas and New Years, including the five (5) days immediately preceding or following these periods. Inventory/blackout days also apply. Nights only can be redeemed in (1) single stay. Unused nights will be forfeited. Proper identification must be presented upon arrival otherwise full price will be charged. Any member of the Wedding Party who is under the age of eighteen (18) must be accompanied by his/her natural or legal guardian on the trip and such legal guardian will be considered a member of the Wedding Party and will be required to fulfill all requirements imposed on each member of the Wedding Party as set forth herein.
If the Winner elects to travel or partake in the Prize with less members of the Wedding Party than is permitted, no additional compensation will be awarded to Winner. Winner is permitted and encouraged to invite more than ten (10) guests to attend Winner’s wedding. However, each guest of Winner beyond the ten (10) permitted as part of the Wedding Party shall be charged full price.
All costs and expenses not specifically included herein are solely the responsibility of the members of the Wedding Party, including airfare, to which such costs and expenses are attributable, including all federal, state, provincial, territorial, and local taxes. The Winner and one (1) person staying in each room provided to the members of the Wedding Party will be required to provide a major credit card upon Hotel check-in. All charges not specifically covered herein and any damage to Hotel property attributed to a member of the Wedding Party will be charged to the credit card on file for the room in which the responsible individual is staying. Sponsor bears no responsibility if any event, element or detail of the Prize is canceled, postponed or becomes unavailable for any reason. Should any event, element or detail of the Prize become unavailable, Sponsor shall have no obligation to replace same. All members of the Wedding Party shall be subject to all terms and conditions printed on any ticket issued in conjunction with the Prize. In the event any member of the Wedding Party is denied entry into any ticketed location or is removed or barred from any ticketed location for any other reason, Sponsor is not responsible and no further compensation or award will be provided. Members of the Wedding Party are solely responsible for obtaining any desired or necessary travel documents (including government-issued photo identification or passports). Each member of the Wedding Party hereby acknowledge that Sponsor has not and will not obtain or provide travel insurance or any other form of insurance for any part of the Prize.
The Released Parties are hereby released and discharged from any and all legal claims, losses, injuries, demands, damages, actions, and/or causes of action that arise out of and/or are in any way related to the Prize, the receipt, use and/or enjoyment of the Prize and/or the Contest. All benefits and payments are personal to the Winner and are not redeemable for cash and are neither substitutable, assignable or transferable without Sponsor’s express permission or where required by law. The Prize may not be combined with any other offers, discounts, or promotions. Any portion of the Prize not accepted or used by Winner will be forfeited, and Sponsor shall not be responsible for any inability of Winner to accept or use any portion of the Prize for any reason. If for any reason the Prize or any part thereof becomes unavailable, Sponsor may, in Sponsor’s sole discretion, award a substitute prize of equal or greater value. Award of the Prize or any substitute prize is subject to verification of eligibility and compliance with these Rules.
10. NOTIFICATIONS TO PRIZE WINNERS AND REQUIREMENTS TO CLAIM PRIZES:
The Winner will be notified by Sponsor via email on or about 3/28/2017. The notification will include further instructions on how to claim the Prize. At the sole discretion of the Sponsor, disqualification, forfeiture and the selection of an alternate Winner may result from any of the following: (i) Winner’s failure to respond to the notification received from Sponsor within five (5) business days from the date of notification; (ii) the return of an e-mail notification sent by Sponsor as undeliverable after three (3) attempts; (iii) Winner’s failure to provide Sponsor with satisfactory proof of age, identity and residency; and (iv) Winner’s failure to execute and return an Affidavit of Eligibility/Liability/Publicity Release (including, without limitation, the Social Security Number of Winner or any information required by law). Upon responding to a notification from Sponsor, Winner shall receive confirmation from Sponsor that Winner has successfully claimed the Prize. All elements of the Prize or any partial portions shall be valid for one (1) year from the date Sponsor confirms Winner has claimed the Prize. Winner must provide Hotel with no less than sixty (60) days’ notice prior to desired arrival at the Hotel. In addition to Winner, prior to arrival Winner’s spouse and each prospective member of the Wedding Party must sign a Publicity Release, in a form acceptable to Sponsor, in order to qualify as a member of the Wedding Party and be eligible to receive any element of the Prize.
11. INTERNET/LIMITATIONS OF LIABILITY:
The Released Parties are not responsible for technical malfunctions of any kind, including but not limited to interrupted or unavailable network server or other connections; miscommunications; failed, partial, or garbled telephone or computer transmissions; jumbled, scrambled or misdirected Entries or transmissions; phone, electrical, network, computer hardware or software or program malfunctions, failures or difficulties; other errors, omissions, interruptions, or deletions of any kind, whether due to electronic, human, mechanical, production or technical errors or other causes; or for any damage to any person's computer or wireless device related to participating in the Contest. Additionally, the Released Parties are not responsible for illegible, unintelligible, late, lost or stolen Entries; incorrect or inaccurate Entry information, whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Contest; or for any technical or human errors which may occur in the processing of any Entries in the Contest.
If, in the judgment of Sponsor, the Contest is compromised by viruses, bugs, non-authorized human intervention or other causes that corrupt or inhibit, or may corrupt or inhibit the administration, security, fairness or intended proper play of the Contest, so that it cannot be conducted as originally planned or intended, Sponsor has the right, in its sole discretion, to modify the Rules or to cancel, modify, terminate or suspend the Contest (except where prohibited by law); and in such event, to select the Winner by such method as Sponsor in its sole discretion shall consider equitable. THE RELEASED PARTIES MAKE NO WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NONINFRINGEMENT AS REGARDS ANY PRIZE OR ANY COMPONENT OF A PRIZE.
13. ARBITRATION AND GOVERNING LAW:
This Contest is governed by the laws of the Mexican State of Quintana Roo, without regard to its conflict of laws rules. Any dispute, controversy or claim arising out of, relating to or in connection with this Contest shall be referred to and settled by arbitration under and in accordance with the Rules of Arbitration of the International Chamber of Commerce (the “ICC Rules”), as amended and in effect on the date that demand for arbitration is filed. Each Contestant hereto consents to such arbitration as the sole and exclusive method of resolving any such dispute. The arbitration proceeding will take place in Cancun, Mexico and be conducted in the English language. The arbitration will consist of one (1) arbitrator appointed by the International Court of Arbitration pursuant to the ICC Rules. The award of the arbitrator shall be final and binding on the parties thereto. Judgment upon any arbitral award rendered may be entered and a confirmation order sought in any court having jurisdiction thereof. For purposes of any proceeding to enforce these Rules or to enforce or confirm an award of the arbitrator, each party hereby expressly submits to the exclusive jurisdiction of the courts of the Mexican State of Quintana Roo. EACH PARTY HEREBY KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVES ANY RIGHTS IT MAY HAVE TO A TRIAL BY JURY IN RESPECT OF ANY ACTION OR PROCEEDING TO ENFORCE THIS SECTION 14, FOR PROVISIONAL MEASURES OR TO ENFORCE OR CONFIRM AN AWARD OF THE ARBITRATOR. THE AWARD FOR ANY CLAIM SHALL BE LIMITED TO ACTUAL DAMAGES, AND IN NO EVENT SHALL ANY PARTY BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING, WITHOUT LIMITATION, ATTORNEY’S FEES OR OTHER SUCH RELATED COSTS OF BRINGING A CLAIM, OR TO RESCIND THIS AGREEMENT OR SEEK INJUNCTIVE OR ANY OTHER EQUITABLE RELIEF. Other than as expressly set forth herein, these Rules shall not be deemed to provide third parties with any remedy, claim, right or action or other right.
By participating, each Contestant, and any person who appears in or is identifiable in any Entry, releases and agrees to indemnify and hold harmless Released Parties from and against any and all costs, claims, damages, or any other injury, whether due to negligence or otherwise, to person(s) or property (including, without limitation, death or violation of any personal rights, such as violation of right of publicity/privacy, libel, or slander), due in whole or in part, directly or indirectly, to participation in the Contest, or arising out of participation in any Contest or Contest-related activity, or the receipt, use, or misuse of any portion of the Prize.
15. GENERAL TERMS & AGREEMENT TO RULES:
By entering the Contest, Contestants agree to abide by these Rules. In no event will more prizes be awarded than are stated in these Rules. The Contest is subject to all applicable federal, state and local laws.
